Any and all agreements, orders and contracts made between the client, client's representative and/or delegate, and Greenslade Business Consultants Ltd, represent the client or client's representative and/or delegate's acceptance of these Terms & Conditions. They are the legally binding basis of any/all such agreements, orders and contracts.

 

 

Definitions

The Company means Greenslade Business Consultants Ltd, hereafter and herein referred to as ‘GBC’, and any sub-contractor for the company. In-house course/event/service means any educational or business related course, event or service offered by GBC for an individual corporate customer at a location specified by the customer.

 

Public course/event/service means any educational or business related course, event or service offered by GBC at locations specified within the course/event/service booking details.

 

Consulting means professional advice and assistance of any kind, offered by GBC at locations specified by the customer.

 

Product means anything manufactured, presented or facilitated by GBC.

 

Customer means the person, firm or corporation identified as enrolling a delegate on a Public course/event/service by way of a relevant written confirmation of enrolment.

 

Confirmation means a legally binding contract instructing GBC to invoice the customer.

 

Delegate means a person attending a Public or In-house course/event/service.

 

Course/event/service materials means any documentation, listing, instruction and/or statement in either machine-readable, electronic or printed form.

 

Working Day means every day of the week excluding Saturday, Sunday and UK statutory holidays.

 

General

These conditions shall be deemed to be incorporated in all contracts and in the case of any inconsistency with any order or letter or correspondence sent by the customer to GBC or any other communication between the customer and GBC whatever may be their respective dates and the provisions of these conditions shall prevail unless expressly varied in writing and signed by a director on behalf of GBC. If GBC chooses not to enforce any of the conditions of these conditions this shall not affect the rights of GBC under the remainder. If in any particular case any of these conditions shall be held to be invalid or shall not apply to the contract the other conditions shall continue in full force and effect. None of GBC’s course/event/service and support materials or advertising and marketing materials, held in any form whatsoever, may be used, re-used, copied, sold or re-sold, by any company, customer or individual, without the express permission of GBC.

 

Products

All products remain the property of GBC until they have been paid for in full.

 

Warranty

GBC warrants that all Public and In-house courses/events/services and any consulting supplied hereunder will be conducted in a professional manner in accordance with generally recognised practices and standards. GBC warrants that it will provide appropriately qualified and experienced trainers, facilitators and consultants to deliver GBC Public and In-house courses/events/services, facilitation and consulting using suitable materials, including course/event/service materials. GBC warrants that it will not knowingly include any copyright material in its course/event/service material without a license or without the consent of the copyright owner, or at least without having taken all reasonable steps to seek any such consent. All GBC materials, of any kind, are subject to copyright which will be strenuously protected. GBC warrants that all personnel provided by GBC are employees of or contracted to GBC.

 

Extent of Services

GBC reserves full control of how its personnel will carry out its professional services.

 

The contents of course/event/service schedules are intended for general guidance only and do not form any part of a contract and GBC reserves the right to make any reasonable variations to the Public and In-house courses/events/services (including the content of the courses) without notice.

 

Any typographical, clerical or other error or omission in any sales literature, administrative documentation, course/event/service materials, invoice or other document or information issued by GBC shall be subject to correction without any liability on the part of GBC.

 

All Public and In-house courses/events/services are delivered solely in the English language and all delegates must be sufficiently proficient with the English language before attending.

 

Authorisation and Obligations of the Customer

All bookings for Public and In-house courses/events/services must be supported by written confirmation/order number.

 

The customer certifies that unless otherwise notified to and agreed with GBC, all delegates attending a Public or In-house course/event/service are employed directly by the customer.

 

In all cases the customer undertakes to bring these terms and conditions to the attention of the delegates attending a Public course. All delegates must be suitably qualified and experienced to attend the Public course/event/service in accordance with its published prerequisites.

 

Costs

For Public courses: course/event/service costs are inclusive of course/event/service materials, tuition, and examination fees and also include the reasonable use of materials, publications and machines (where applicable and where specific permission is granted) by the delegate solely for the period of the course/event/service.

 

Meals and other refreshment costs will not be included in the course/event/service cost unless it is specifically stated to the contrary.

 

The course/event/service cost does not include any travel, accommodation or subsistence expenses which the delegate may incur by attending the course/event/service.

 

For In-House courses: course/event/service costs include course/event/service materials and tuition. For examination based courses/events/services there is an additional charge per delegate, for examination fees, licensed materials and accreditation fees.

 

The course/event/service cost does not include any travel, accommodation or subsistence expenses which GBC’s staff may incur by attending the course/event/service, and will therefore be the subject to additional cost.

 

Prices quoted exclude VAT or other sales taxes which will be added at the current rate. Where a delegate is attending a Public course/event/service in the UK, regardless of the delegate's country of origin, the point of supply for VAT purposes is the location of the course.

 

Failure to receive payment by the due date may lead to GBC executing its right to charge interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

 

GBC reserves the right to charge interest on late payments at the current banking base rate plus 6% as prescribed by the DTI's 'Better Payments Plan.'

 

Payment Terms

GBC will raise an Invoice upon receipt of a Confirmation Order/Order Number, at which time a non-returnable 25% deposit will be immediately payable.

 

Full remaining payment will be due fourteen days following completion of the course/event/service.

 

From time to time early invoice payment will attract variable discounts.

 

Substitutions, Transfers and Cancellations by the Customer

The customer may substitute a delegate on a Public course/event/service upon notification, at no additional charge, subject to the new delegate meeting the course/event/service prerequisites.

 

In normal circumstances, a provisional booking will be held on GBC’s booking system for no more than 3 working days.

 

Cancellations and Transfer Policy

If you cancel your Public course/event/service booking the following charges will apply:

More than 28 days prior to start date = 50% of Total course/event/service cost

28-14 working days prior to start date = 75% of Total course/event/service cost

Less than 14 working days prior to start date = 100% of Total course/event/service cost

 

If you transfer your Public course/event/service booking to another available GBC course/event/service, the following will apply:

 

More than 28 days prior to start date = No charge

28-14 working days prior to start date = £150 Transfer Cost

Less than 14 working days prior to start date = 50% of Total course/event/service cost

 

If you cancel your In-house course/event/service booking the following will apply:

More than 28 days prior to start date = No charge

28-14 working days prior to start date = 50% of Total course/event/service cost

Less than 14 working days prior to start date = 100% of Total course/event/service cost

 

All pre-attendance course/event/service packs/materials already dispatched will be charged for.

 

Cancellations and changes to Public courses/events/services by GBC

GBC reserves the right to cancel or change a Public or In-house course/event/service and undertakes to provide reasonable notice of the cancellation or change except in an emergency.

 

GBC will make every effort to re-schedule any cancelled course/event/service wherever possible and where it remains economically viable.

 

The customer will be entitled to seek a refund of any fee paid to GBC in the event of a cancellation or any change to the course/event/service date which cannot be reasonably re-scheduled or significant change in venue but shall not otherwise be entitled to compensation or costs or damages arising from such a cancellation.

 

Prerequisites and Admission

GBC reserves the right to refuse or curtail the provision of training or business related services if a delegate or substitute delegate attending on behalf of the customer fails to satisfy the requirements of a Public course/event/service as published.

 

GBC reserves the right to refuse admission to any person whom it considers in its absolute discretion to be unsuitable for admission to any course/event/service or to GBC premises or any training or business related venue, or to remove any such person after the commencement of a Public course.

 

Copyrights

Copyright and all intellectual property rights for all course/event/service materials shall remain the property of GBC.

 

The customer agrees not to reproduce, sell, hire or copy course/event/service materials (in whole or in part) and not to use such materials except for the purposes of post course/event/service reference.

 

Assignments

GBC may assign all or part of its interest in this Agreement.

The customer may not assign or transfer this contract or any interest therein or claim there under without the prior written approval of GBC.

 

Force Majeure

GBC shall not be in breach of this contract if there is any total or partial failure of performance by it of its duties and obligations under this contract occasioned by any act of God, fire, act of government or state, war, civil commotion, insurrection, embargo, prevention from or hindrance from obtaining any raw materials or energy, sickness or other cause beyond its reasonable control.

 

If GBC is unable to perform its duties and obligations under this contract as a direct result of the effect of one or more of such causes that GBC shall give written notice to the customer of such inability stating the cause in question. The operation of these conditions shall be suspended during the period in which the cause continues to have effect.

 

Forthwith upon the cause ceasing to have effect GBC shall give written notice thereof to the customer.

 

Limits of Liability

GBC’s entire liability and that of its employees, training staff and consultants and the customer's sole remedies in respect of any claim, shall be as set out in this clause unless otherwise expressly stated. The customer's remedy in respect of any claim shall be limited to damages. GBC will not accept liability for death or personal injury or the loss of or damage to personal property of any kind.

 

Personal Injury Insurance

It is the personal responsibility of the INDIVIDUAL, and strongly recommended by GBC, that any delegate taking part in one of our active/outdoor teambuilding days, and/or any other training events/courses, should take out personal injury insurance commensurate with that which would be recommended if they were to undertake any other sporting or physically challenging event.

 

Non-procurement

The customer agrees that if within a period of six months after the attendance of a delegate on a Public or In-house course/event/service the customer shall entice or procure any person to leave GBC employment or to terminate a contract for services with GBC it will make a payment to GBC equivalent to 50% of the employee's gross annual remuneration at the date of termination.

 

Personal Belongings including Vehicles

Vehicles, personal belongings of any kind and items belonging to or in the possession of the customer or delegate brought onto GBC premises are the sole responsibility of the owner and GBC accepts no responsibility for any such items.

 

Governing Law and Jurisdiction

The validity, construction and performance of these terms and conditions are for convenience only and shall not affect the construction thereof.

 

The terms and conditions contained herein comprise the entire agreement between the parties and supersede any prior written or oral agreement between them relating to the subject matter hereof and the parties hereto confirm and agree that they have entered into this agreement on that basis and not in reliance upon or by reason of any other agreement, condition, representation or warranty (collateral or otherwise) not expressly incorporated in this agreement.

 

This agreement is governed by the laws of England and Wales and each party hereby submits to the exclusive jurisdiction of the courts of England and Wales over all matters and disputes arising from or connected with the subject matter of this agreement or its existence.

 

Miscellaneous

GBC shall provide, free of charge, for a period of three months from the day on which the course/event actually commenced, an email support facility to the individuals who attended the course/event in relation to the matters covered in the course/event/service and will use its reasonable endeavours to respond to any enquiry so made within three working days of any request for assistance.

 

If a delegate fails to arrive at the training venue within 30 minutes of the designated start time of the course/event/service then GBC reserve the absolute right to decline to permit them to attend the course/event/service. If a delegate whilst at or in the vicinity of the training or business related venue becomes engaged in or associated with any disruptive or anti-social behaviour (which includes smoking other than in designated areas), GBC may require them to leave forthwith or may decline to permit them to attend or resume attendance on the course/event/service.

 

In the event that GBC so exercises any such discretion, no refund shall be made to the customer.

 

If the customer is dissatisfied with the course/event/service in any way, the customer must notify GBC in writing within seven days after course/event/service completion.

 

 

Any and all agreements, orders and contracts made between the client, client's representative and/or delegate, and GBC, represent the client or client's representative and/or delegate's acceptance of these Terms & Conditions. They are the legally binding basis of any/all such agreements, orders and contracts.
